Terms Of Service

These Terms of Service (the “Terms”) govern access to and use of the Omago.ai services (the “Services”). The Services are provided by Omago.ai (“Omago,” “we,” “us,” or “our”).
By creating an account, subscribing, or otherwise accessing or using the Services, you agree to these Terms on behalf of a company or other legal entity (“Customer,” “you”). You represent and warrant that you have authority to bind the Customer to these Terms. If you do not agree, do not use the Services.
About Omago and the Services
1.1 Service Description
Omago provides a cloud-based AI customer engagement solution that enables Customers to deploy an AI-powered website chat widget and related tools, including knowledge base ingestion, configuration, and analytics.
1.2 B2B Only
The Services are offered for business use by Customers and their authorized personnel. The Services are not intended for consumer/personal use.
1.3 In-Bound Responses
At launch, the Services are designed to respond to inbound website chat interactions. Omago does not send outbound marketing broadcasts on your behalf at launch.
Accounts, Users, and Access
2.1 Account Registration
You must provide accurate account information and keep it up to date.
2.2 Authorized Users
Your employees/contractors authorized by you to access the Services (“Users”) may use the Services only for your internal business purposes.
2.3 Security
You are responsible for maintaining the confidentiality of credentials and for all activity under your account (except where caused by a verified security breach in Omago’s systems). Notify us promptly of any suspected unauthorized access at [SECURITY/LEGAL EMAIL].
Acceptable Use and Prohibited Content
3.1 Compliance
You will use the Services in compliance with all applicable laws and regulations and will not infringe third-party rights.
3.2 Prohibited Content and Activities
You must not (and must not allow Users or end-users to):
upload or transmit malware, harmful code, or attempt to disrupt the Services;
use the Services for fraud, scams, deceptive practices, or illegal goods/services;
upload or transmit content that is unlawful, infringing, harassing, hateful, or discriminatory;
collect or process personal data unlawfully, or in a way that violates privacy rights;
reverse engineer, decompile, or attempt to discover the source code of the Services (except to the extent prohibited by law);
use the Services to build or materially support a competing product or service.
3.3 Enforcement
We may suspend or terminate access if we reasonably believe you are violating these Terms or creating security, legal, or operational risk.
AI Features, Autonomy, and Customer Responsibility
4.1 Autonomous Responses
The Services may generate and send AI responses to your end-users without human review if you enable such settings. You are responsible for configuring safeguards (e.g., rules, handoff triggers, disclaimers, restricted topics).
4.2 No Professional Advice / High-Risk Use
AI outputs may be incorrect, incomplete, or inappropriate. You must not rely on the Services as a substitute for professional advice. You agree not to use (or allow end-users to use) AI outputs for high-risk decisioning that could materially affect a person’s legal rights or life outcomes (e.g., medical, legal, financial, employment, insurance, housing decisions).
4.3 Hallucinations and Business Loss Disclaimer
You acknowledge the AI may produce “hallucinations” (confident but incorrect statements). Omago is not responsible for any business losses or damages arising from AI outputs, including (without limitation) incorrect pricing, promotions, commitments, or statements made by the AI.
4.4 Your Content and Instructions
You are responsible for:
what you upload/input (including knowledge base content);
how you configure the system;
how the AI is presented to end-users (including any disclaimers you choose to show);
ensuring you have the necessary rights and consents to provide all content and data processed through the Services.
Third-Party AI Providers
5.1 OpenRouter and Model Providers
The Services use OpenRouter to route requests to third-party model providers selected by you or by your configuration (“Model Providers”). When generating outputs, Customer content may be transmitted to OpenRouter and the chosen Model Provider.
5.2 Data Sent for AI Generation
Based on our current implementation, the data sent for AI generation may include user chat messages and knowledge base content/files. We do not intentionally send metadata such as IP address or user agent to OpenRouter/Model Providers as part of the AI prompt payload.
5.3 No Control Over Third Parties
We do not control Model Provider behavior, policies, availability, or uptime. Your use of third-party services is subject to their terms and policies.
5.4 ZDR Default On (Optional Feature)
Omago will set Zero Data Retention (ZDR) as default ON where available through OpenRouter. You understand that retention/training may still depend on the policies of the selected Model Provider, and that ZDR is a best-effort control rather than a guarantee from Omago.
Customer Data, Output Ownership, and Licenses
6.1 Customer Data
“Customer Data” means data, content, files, messages, and configuration you (or your Users/end-users) submit to or generate through the Services, including knowledge base content.
6.2 Ownership of Customer Data
As between the parties, you own your Customer Data. You grant Omago a worldwide, non-exclusive, royalty-free license to host, process, transmit, and otherwise use Customer Data solely to provide, secure, maintain, and improve the Services and to comply with law.
6.3 Ownership of AI Outputs
“Output” means the responses generated by the AI through the Services. As between the parties, and to the extent permitted by law, you own all Output. Omago hereby assigns to you any right, title, and interest Omago may have in and to Output.
6.4 Aggregated / De-Identified Data
We may collect and use aggregated and/or de-identified data derived from use of the Services (that does not identify you or any individual) for analytics, quality assurance, product improvement, and development of new features.
6.5 Feedback
If you provide suggestions or feedback, you grant Omago a perpetual, worldwide, royalty-free right to use it without restriction.
Data Processing (Processor Terms)
(a) Roles.
To the extent Omago processes Personal Data on behalf of the Customer in connection with the Services, the Customer acts as the “data user” (controller) and Omago acts as a data processor.
(b) Customer Instructions.
Omago will process Personal Data only to provide, maintain, and support the Services and in accordance with the Customer’s documented instructions as configured through the Services, unless required by applicable law.
(c) Customer Responsibilities.
The Customer is responsible for:
(i) providing all required notices and obtaining all necessary consents and lawful authority to collect, use, and provide Personal Data to Omago and to any third-party services the Customer enables (including OpenRouter and Model Providers); and
(ii) ensuring it does not input, upload, or otherwise provide unnecessary sensitive personal data unless strictly required and lawful.
(d) Sub-processors and International Processing.
The Customer acknowledges Omago uses third-party infrastructure and service providers (including Supabase, Cloudflare, OpenRouter, and Model Providers selected by the Customer) to deliver the Services, and Personal Data may be processed or stored outside Hong Kong.
(e) Security.
Omago will maintain reasonable administrative, technical, and organizational safeguards designed to protect Personal Data against unauthorized access, loss, or disclosure.
(f) Retention and Deletion.
Upon cancellation or deletion of a workspace, Omago will delete Customer Data in accordance with Omago’s then-current deletion policy (currently: main data within 30 days and backups within 90 days), subject to legal, security, and operational requirements.
Security
We implement reasonable technical and organizational measures to protect the Services and Customer Data. However, no system is 100% secure, and you are responsible for securing your own systems and user access.
Fees, Billing, Trials, Renewals, Cancellation, No Refunds
9.1 Plans and Fees
Fees, plan features, and limits are described at [PRICING PAGE URL] or in an Order form.
9.2 Free Trial
Free trials may be offered at Omago’s discretion and may be approved case-by-case.
9.3 Auto-Renewal
Subscriptions renew automatically unless cancelled according to this Section 9.
9.4 Monthly Plan Cancellation (End of Billing Cycle)
For monthly subscriptions, you may cancel anytime. Cancellation takes effect at the end of the current billing cycle, and the Services will continue until that date.
9.5 Yearly Bundle Cancellation (15-Day Rule)
For annual bundle subscriptions, you must cancel at least 15 days before the renewal date to prevent auto-renewal.
9.6 No Refunds
Fees are non-refundable and we do not provide refunds or credits for partial periods, downgrades, or unused time.
9.7 Taxes
Fees exclude applicable taxes unless stated otherwise.
Usage Limits, Fair Use, and Rate Limits
To protect service stability and prevent abuse, Omago may impose reasonable usage limits (e.g., message volume, model calls, file size, rate limits) based on your plan and/or fair use. If your usage materially impacts the Services or costs, we may throttle, suspend, or require an upgrade.
Intellectual Property
11.1 Omago IP
Omago retains all rights, title, and interest in the Services, software, UI, documentation, and related IP (excluding Customer Data and Output as stated).
11.2 Restrictions
You will not copy, modify, distribute, or create derivative works of the Services except as expressly allowed.
Third-Party Services
The Services may integrate with third-party services (including infrastructure providers and AI providers). Omago is not responsible for third-party services, and your use of them may be subject to their terms.
Confidentiality
Each party may receive confidential information from the other. The receiving party will protect it using reasonable care and use it only to perform under these Terms. Confidential information does not include information that is publicly known without breach, independently developed, or rightfully received from a third party.
Disclaimers
THE SERVICES (INCLUDING AI FEATURES AND OUTPUTS) ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
To the maximum extent permitted by law, Omago disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Omago does not warrant that the Services will be uninterrupted, error-free, or that outputs will be accurate or reliable.
Indemnification
You will defend, indemnify, and hold harmless Omago from claims arising out of or related to:
(a) Customer Data;
(b) your use of the Services;
(c) your breach of these Terms; or
(d) your violation of law or third-party rights, including privacy rights.
Limitation of Liability
16.1 No Indirect Damages
To the maximum extent permitted by law, Omago will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, or loss of data.
16.2 Liability Cap (Important)
To the maximum extent permitted by law, Omago’s total liability arising out of or related to these Terms will not exceed the fees paid by Customer to Omago for the Services in the six (6) months immediately preceding the event giving rise to the claim.
Termination and Data Deletion
17.1 Termination for Cause
Either party may terminate for material breach if not cured within 30 days after written notice.
17.2 Effect of Termination
Upon termination, your right to use the Services ends.
17.3 Deletion Policy
If you cancel or delete a workspace, Omago will handle deletion per Section 7(f): 30 days for main data and 90 days for backups.
17.4 Export
Export is not provided as a standard feature at this time. It may be provided upon request, subject to feasibility and Omago’s discretion.
Publicity
Omago may identify Customer as a user of the Services (name/logo) only with Customer’s prior written consent.
Notices
Notices may be sent via email and/or in-app notifications to the account owner’s registered email, or as otherwise specified. Notices to Omago should be sent to [LEGAL NOTICE EMAIL].
Governing Law and Dispute Resolution
These Terms are governed by the laws of Hong Kong. The parties submit to the non-exclusive jurisdiction of the courts of Hong Kong.
Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice via email and/or in-app at least 30 days before they take effect. Continued use after the effective date means acceptance.

Miscellaneous
If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent. These Terms are the entire agreement regarding the Services and supersede prior discussions.
